Terms of Service
(for NextHOA SaaS Platform)
Effective Date: August 1, 2025
These Terms of Service ("Terms") govern your use of the NextHOA Software-as-a-Service platform (the "Software") provided by Jeva Technologies OPC (the "Company," "we," "our"). By subscribing to and using the Software, you ("User," "Subscriber," "HOA," "Admin," or "Tenant") agree to comply with these Terms.
1. Software Access & License
The Software is provided on a subscription basis. You are granted a limited, non-exclusive, non-transferable license to access and use the Software during the subscription period.
You do not own the Software. All intellectual property rights remain with the Company.
Subscription includes:
- Access to the Software via web or mobile applications.
- Regular updates and feature improvements.
- Customer support as defined by the subscription plan.
2. Subscription, Fees, and Payments
Subscription fees are billed on a monthly or annual basis.
Failure to pay on time may result in suspension or termination of Software access.
Fees are separate from any HOA dues or assessments and are non-refundable except where required by Philippine law.
3. Acceptable Use
You may not:
- Copy, modify, or redistribute the Software.
- Attempt to reverse-engineer, hack, or interfere with the Software.
- Use the Software for illegal activities, harassment, or fraudulent purposes.
- Share login credentials with unauthorized parties.
Violation of this policy may result in suspension or termination of access.
4. Services, Availability, and Support
The Company aims for 99% uptime, excluding scheduled maintenance and force majeure events.
Updates, patches, and improvements are automatically provided as part of the subscription.
Standard support is available, with a target response time of 24 business hours unless otherwise stated in the plan.
5. Data Ownership & Privacy
All community and resident data entered into the Software belongs to the Subscriber (HOA or User).
The Company may process such data solely for providing services.
Data Retention: Upon termination, Subscribers have 30 days to export their data before permanent deletion, unless retention is legally required.
The Company may use aggregated, anonymized data for analytics and product improvement, but never for resale or individual identification.
6. Termination
The Company may suspend or terminate accounts for violations of these Terms or failure to pay subscription fees.
Upon termination, your license ends and data retention rules (Section 5) apply.
7. Liability Disclaimer
The Software is provided "as is" without warranties of uninterrupted service or error-free operation.
The Company is not liable for incidental damages, financial loss, or data loss arising from Software use.
8. Amendments
We may update these Terms from time to time. Continued use of the Software after notice of changes constitutes acceptance of the revised Terms.
9. Governing Law
These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved in the proper courts of the Philippines.
